What is a Confirmation Statement?
A confirmation statement (previously known as an annual return) is a document that every UK limited company must file with Companies House at least once every 12 months. It confirms that the information held on the Companies House register about your company is accurate and up to date.
Filing your confirmation statement is a legal requirement under the Companies Act 2006. Failure to file can result in your company being struck off the register.
When is My Confirmation Statement Due?
Your confirmation statement is due within 14 days of the end of your review period. Your review period is 12 months from either:
- The date your company was incorporated, or
- The date of your last confirmation statement
Companies House will send a reminder to your registered office address when your confirmation statement is due — another reason why having a reliable registered office address service is so important.
Confirmation Statement Checklist
Before filing, work through this checklist to make sure all your company information is accurate and up to date.
Company Details
- Company name — is your company name correct on the register? If you have changed your name, has this been updated?
- Company registration number — confirm this is correct
- Company type — confirm your company type (e.g. private limited company) is correct
- Date of incorporation — confirm this is accurate
Registered Office Address
- Registered office address — is the address on the register correct and current? If you have moved or changed provider, has the address been updated via form AD01?
- SAIL address — if your company uses a Single Alternative Inspection Location (SAIL), confirm this is correct
Directors and Officers
- Director details — are all current directors listed? Have any directors resigned or been appointed since your last confirmation statement?
- Director service addresses — are all director service addresses correct and up to date?
- Company secretary — if your company has a secretary, are their details correct?
Persons with Significant Control (PSC)
- PSC register — is your PSC register up to date? All individuals or entities with significant control over the company must be listed
- PSC details — confirm names, service addresses, and nature of control are accurate
- Changes to PSC — have any PSCs been added or removed since your last confirmation statement? These must be notified to Companies House
Share Capital and Shareholders
- Statement of capital — confirm your total share capital, number of shares issued, and share classes are correct
- Shareholder details — are all shareholders listed correctly with the correct number of shares held?
- Share transfers — have any shares been transferred since your last confirmation statement? Ensure these are reflected
SIC Codes
- Standard Industrial Classification (SIC) codes — do your SIC codes accurately reflect your current business activities? You can update these when filing your confirmation statement
How to File Your Confirmation Statement
- Log in to Companies House WebFiling at ewf.companieshouse.gov.uk
- Select File a confirmation statement
- Review all the pre-populated information and make any necessary updates
- Confirm the statement is accurate and submit
- Pay the filing fee — currently £34 for online filing (or £62 by paper)
Online filing is processed quickly, usually within 24 hours. You will receive a confirmation email from Companies House once it has been accepted.
